Terms of use

Swapness is a platform that connects private individuals in the New York City area who want to swap items with each other, with no money involved. By creating an account you agree to these terms. We have kept them short on purpose: Swapness is in beta, and this document will grow with the product.

What Swapness is (and is not)

  • Swapness only puts people in touch. We are not a party to any swap, and we never own, hold, inspect or deliver the items exchanged.
  • We give no guarantee about any item: its condition, authenticity, safety or value. Descriptions, photos and AI value estimates in US dollars are indicative only.
  • Every exchange happens under the sole responsibility of the members involved. Check items before you swap, and meet in a public place when you can.
  • We do not run background checks on members and we do not verify identities. Use your own judgement when you meet someone.

Your account

  • You must be at least 18 years old and swap as a private individual, not as a business.
  • The beta is open to people living in the New York City area who have been invited.
  • Keep your account details accurate and your credentials to yourself.
  • You are responsible for what you publish and send through Swapness.

What is not allowed

  • Listing items that are illegal, stolen, counterfeit, recalled, dangerous or otherwise restricted (weapons and ammunition, drugs, medication, alcohol, tobacco and vaping products, live animals, and similar).
  • Misleading photos or descriptions, scams, or attempts to turn a swap into a hidden sale.
  • Harassment, hate speech, threats, or offensive content in listings, profiles or messages.
  • Spam, commercial reselling, scraping, or interfering with the service.
  • Posting photos or content that you do not have the right to share.

Reports and suspension

You can report any item or member from within the app. We review every report and may remove content, restrict features, or suspend or delete accounts that break these rules, permanently in serious cases. If we take action on your content, you can contact us to ask why and to respond. See our Privacy policy for how reports are handled and stored.

Content you publish

Your photos and texts remain yours. By publishing them on Swapness you give us a non-exclusive, royalty-free licence to host, display and resize them within the app, for as long as they are published, so the service can work. You confirm that you have the right to publish them.

If you believe content on Swapness infringes your copyright, send a notice to contact@swapness.com with the subject “Copyright notice”. It must include:

  • your physical or electronic signature;
  • a description of the copyrighted work;
  • the link to the content you want removed;
  • your name, postal address, phone number and email address;
  • a statement that you believe in good faith that the use is not authorised by the owner, its agent or the law;
  • a statement, under penalty of perjury, that your notice is accurate and that you are the owner or are authorised to act for the owner.

We remove or disable the content and tell the member who published it. That member can send a counter-notice to the same address if they believe the removal was a mistake. We close the accounts of members who repeatedly infringe.

Beta service

Swapness is a beta. Features may change, break or be removed, and we may need to reset data during the pilot. The service is provided free of charge, “as is” and “as available”, without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose or non-infringement.

Limitation of liability

To the fullest extent permitted by law, Swapness is not liable for any indirect, incidental, special or consequential damages, or for any loss arising from swaps between members, from items exchanged, from meetings between members, or from interruptions of the service. Where liability cannot be excluded, it is limited to one hundred US dollars ($100). Some states do not allow these limits, so they may not all apply to you.

Indemnity

If someone makes a claim against Swapness because of an item you swapped, content you published or a rule you broke, you agree to cover the reasonable costs of that claim, to the extent the law allows.

Closing your account

You can delete your account at any time from the app. We can suspend or close an account that breaks these terms, as described above, or end the beta for everyone, in which case we tell you by email first.

Changes to these terms

We may update these terms as the product grows. When a change matters, we tell you by email or in the app before it applies, and the date at the top of this page changes. If you keep using Swapness after that, the new terms apply. If you do not agree, you can delete your account.

Disputes between members

A disagreement about a swap is between the members involved. We can share the record of a swap (its steps and its handover photos) with the two people in it, to help them settle it, but we do not decide who is right and we do not compensate either side.

Disputes with us

If you have a problem with Swapness, write to us first at contact@swapness.com. We will try to resolve it within 30 days before either side goes to court.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute that we cannot resolve together will be brought before the state or federal courts located in New York County, New York. Nothing in these terms limits the rights you have under the consumer protection laws of your state.

General

These terms and the Privacy policy are the whole agreement between you and Swapness about the service. If one part is found unenforceable, the rest still applies. If we do not enforce a part at once, we do not give it up. You cannot transfer your account or these terms to someone else.
